ALSONA AMBASSADOR PROGRAM AGREEMENT

This Ambassador Program Agreement (“Agreement”) is entered into by and between Alsona LLC, a Delaware limited liability company (“Alsona,” “Company,” “we,” “us”), and the individual or entity applying to or participating in the Ambassador Program (“Ambassador,” “you”).

BY CHECKING THE ACCEPTANCE BOX OR OTHERWISE INDICATING YOUR AGREEMENT, YOU AGREE TO BE LEGALLY BOUND BY THIS AGREEMENT.

1. DEFINITIONS

“Program” means the Alsona Ambassador Program.
“Ambassador Content” means all posts, videos, articles, comments, testimonials, or other materials created by Ambassador referencing Alsona.
“Platforms” means LinkedIn, X, YouTube, TikTok, Reddit, Instagram, Facebook, or any third-party platform used for distribution.
“Tracking Link” means the unique link, code, or URL parameter Alsona assigns to Ambassador for attributing traffic and conversions.
“Performance Metrics” means clicks, signups, trial starts, and paid conversions attributed to Ambassador’s Tracking Link, as verified by Alsona.
“Campaign Order” means a written order issued by Alsona that describes specific deliverables, deadlines, and fixed compensation for those deliverables, and that references this Agreement.
“Competing Product” means any product or service that offers sales intelligence, buying or intent signals, lead generation, prospect data, or LinkedIn or email outreach automation.

2. PROGRAM PARTICIPATION

2.1 Eligibility

Ambassador must:

  • Be at least 18 years old
  • Provide accurate identification and payment information
  • Maintain active accounts on applicable Platforms
  • Have a professional background relevant to B2B sales, marketing, business development, or agency leadership, as determined by Alsona
  • Have an audience that is relevant to Alsona’s customers and located primarily in markets Alsona serves, as determined by Alsona
  • Be approved by Alsona at its sole discretion

Alsona may accept or reject any applicant for any lawful reason.

2.2 Application and Audience Verification

Before approval, and at any time on request during participation, Ambassador must provide:

  • Current audience analytics from each Platform Ambassador will use, including follower location, job function, seniority, and industry where the Platform makes these available
  • A summary of relevant work experience
  • A list of any current or recent paid relationships with Competing Products

2.3 Accuracy of Information

Ambassador represents that all information provided to Alsona, including profile location, work history, follower counts, and audience analytics, is accurate and not misleading. Misrepresentation is grounds for rejection, immediate termination, non-payment, and refund of amounts already paid under Section 9.7.

2.4 Independent Contractor Status

Ambassador is an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship. Ambassador has no authority to bind Alsona.

3. CONTENT APPROVAL

3.1 Pre-Approval Required

Ambassador must submit each piece of Ambassador Content to Alsona for written approval before publishing. Alsona may request one round of revisions.

3.2 Unapproved Content

Content published without Alsona’s written approval, or materially changed after approval, is not eligible for compensation of any kind.

4. CONTENT STANDARDS

4.1 Accurate Representation

Ambassador Content must describe Alsona as a buying-signal and outbound sales platform for sales teams, agencies, and B2B companies, consistent with the messaging and product information Alsona provides. Ambassador may not describe Alsona as serving a different purpose or audience.

4.2 Claims and Results

Ambassador agrees to:

  • Create authentic content based on Ambassador’s actual experience with Alsona
  • Avoid false, misleading, or unsubstantiated claims
  • Not state or imply personal results (including response rates, meetings booked, revenue, or deals closed) unless Ambassador has actually achieved those results using Alsona and can provide supporting evidence on request
  • Not use statistics or performance figures about Alsona that Alsona has not provided or approved in writing
  • Not make guarantees about results any user will achieve

4.3 Brand Guidelines and Tracking

Ambassador agrees to follow Alsona brand guidelines and messaging as provided, and to include the Tracking Link in every piece of Ambassador Content. Content without the Tracking Link is not eligible for compensation.

5. DISCLOSURE AND COMPLIANCE

5.1 Compliance with Laws and Platform Rules

Ambassador is solely responsible for complying with:

  • All applicable laws and regulations
  • FTC Endorsement Guides and all other applicable advertising and disclosure laws
  • Platform terms of service, including LinkedIn’s policies

5.2 Disclosure Requirements

Ambassador must clearly disclose their material relationship with Alsona in all Ambassador Content. Disclosure must:

  • Appear in the body of the post, within the first lines visible before the content is truncated (for example, before “see more”)
  • Use clear language such as “#ad,” “#sponsored,” or “Paid partnership with Alsona”
  • Use the Platform’s paid partnership or brand partnership label where the Platform offers one

Disclosure only in comments, at the end of a hashtag block, or in a profile bio does not satisfy this requirement.

5.3 Effect of Non-Compliance

Undisclosed or improperly disclosed content is not eligible for compensation until corrected. Repeated or uncorrected failure to disclose may result in immediate termination.

6. ENGAGEMENT INTEGRITY

6.1 Prohibited Practices

Ambassador will not use any of the following in connection with Ambassador Content:

  • Engagement pods or groups, or any coordinated commenting, reacting, or resharing arrangement
  • Purchased followers, reactions, comments, views, or clicks
  • Bots or automated engagement
  • “Comment to receive access” mechanics, or giveaways tied to Alsona content, unless approved by Alsona in writing

6.2 Review and Exclusion

Alsona may review the source and quality of engagement and traffic on Ambassador Content. Engagement, traffic, or conversions that Alsona reasonably determines to be coordinated, artificial, or fraudulent are excluded from Performance Metrics and are not eligible for compensation.

7. EXCLUSIVITY

Ambassador will disclose any paid relationship with a Competing Product before approval. Ambassador will not promote a Competing Product during the 90 days before or after publishing any Ambassador Content, unless Alsona agrees in writing.

8. PLATFORM RISK DISCLAIMER

Ambassador acknowledges that Platforms maintain independent rules and enforcement policies.

Ambassador agrees that:

  • Participation in the Program is voluntary
  • Promotion of Alsona is undertaken at Ambassador’s sole discretion and risk
  • Alsona does not control Platform enforcement actions

ALSONA SHALL NOT BE LIABLE FOR ANY PLATFORM PENALTIES, ACCOUNT RESTRICTIONS, SUSPENSIONS, SHADOWBANS, OR TERMINATIONS RESULTING FROM AMBASSADOR’S ACTIVITIES.

9. COMPENSATION

9.1 Performance-Based Compensation

Unless a Campaign Order says otherwise, compensation is based solely on verified Performance Metrics as determined by Alsona in its reasonable discretion. Impressions, reactions, comments, views, and follower counts are not Performance Metrics and do not by themselves earn compensation.

9.2 Campaign Orders

Alsona may offer fixed compensation for specific deliverables under a Campaign Order. Fixed compensation is payable only for deliverables that:

  • Were approved by Alsona before publishing under Section 3
  • Meet the Content Standards in Section 4
  • Meet the disclosure requirements in Section 5
  • Include the Tracking Link
  • Were published by the date stated in the Campaign Order

Alsona may reduce or withhold fixed compensation for deliverables that do not meet these requirements. If a Campaign Order conflicts with this Agreement, this Agreement controls unless the Campaign Order expressly states otherwise.

9.3 Verification

Alsona reserves the right to validate analytics, request Platform analytics screenshots or exports from Ambassador, and withhold payment while verification is pending.

9.4 No Earnings Guarantee

Earnings are not guaranteed. Ambassador acknowledges that compensation depends on genuine performance and compliance with this Agreement.

9.5 Payment Terms

Payments are issued according to Program guidelines or the applicable Campaign Order.

9.6 Taxes

Ambassador is responsible for all taxes and reporting obligations related to compensation received under this Agreement.

9.7 Refunds

If Alsona determines after payment that Ambassador Content, Ambassador’s application, or information provided under Section 2 breached this Agreement, Ambassador will refund the amounts paid for the affected content within 30 days of Alsona’s written notice.

10. CONTENT RETENTION AND REMOVAL

10.1 Minimum Live Period

If a Campaign Order specifies a minimum period for Ambassador Content to remain published, Ambassador will keep the content live and unedited for that period.

10.2 Corrections and Removal

Alsona may require Ambassador to correct or remove Ambassador Content that breaches this Agreement or that Alsona reasonably believes harms Alsona’s reputation. Ambassador will make the requested correction or removal within 48 hours of notice.

11. INTELLECTUAL PROPERTY

11.1 License to Alsona

Ambassador grants Alsona a perpetual, worldwide, royalty-free, transferable, sublicensable, irrevocable license to use, reproduce, modify, distribute, publicly display, and create derivative works of Ambassador Content for marketing and promotional purposes.

This license survives termination for content already created.

11.2 Ownership

Ambassador retains ownership of original content, subject to the license granted in this Agreement.

11.3 Brand Assets

Alsona retains all rights to its trademarks, logos, and proprietary materials. Ambassador may not modify brand assets without written consent.

12. REPRESENTATIONS AND WARRANTIES

Ambassador represents and warrants that:

  1. Ambassador Content is original or properly licensed.
  2. Ambassador Content does not infringe any third-party rights.
  3. Ambassador Content complies with applicable laws and Platform policies.
  4. Ambassador will not make guarantees or claims about Alsona that Alsona has not expressly authorized.
  5. Ambassador will not present themselves as an employee or official spokesperson of Alsona.
  6. All information Ambassador provides under Section 2 is accurate and complete.
  7. Ambassador has not used and will not use any practice prohibited by Section 6.

13. INDEMNIFICATION

Ambassador agrees to indemnify, defend, and hold harmless Alsona and its officers, directors, employees, and affiliates from any claims, damages, penalties, liabilities, losses, or expenses (including attorneys’ fees) arising from:

  • Ambassador Content
  • Breach of this Agreement
  • Failure to disclose sponsorship
  • Unsubstantiated or false claims made by Ambassador
  • Violation of Platform terms
  • Violation of law
  • Infringement of third-party rights

14. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY DELAWARE LAW:

ALSONA SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF REVENUE OR BUSINESS OPPORTUNITIES.

ALSONA’S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID TO AMBASSADOR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

15. TERMINATION

15.1 Termination by Alsona

Alsona may suspend or terminate participation immediately if:

  • Ambassador breaches this Agreement
  • Ambassador provided inaccurate information under Section 2
  • Ambassador Content harms Alsona’s reputation
  • Ambassador engages in illegal, abusive, or fraudulent conduct
  • Ambassador violates Platform rules

Alsona may also end Ambassador’s participation for any reason with written notice. Either party may end participation at any time with written notice.

15.2 Effect of Termination

Upon termination:

  • Earnings for approved, compliant content published before termination may be paid at Alsona’s discretion
  • No compensation is owed for content published after termination
  • Sections 9.6, 9.7, 10.2, 11, 13, 14, 16, and 17 survive

16. CONFIDENTIALITY

Ambassador shall not disclose any non-public information about Alsona, including business strategy, roadmap, pricing structure, Campaign Order terms, or internal processes.

17. DISPUTE RESOLUTION

17.1 Governing Law

This Agreement is governed by the laws of the State of Delaware, without regard to conflict of law principles.

17.2 Venue

Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.

18. MODIFICATIONS

Alsona may modify this Agreement at any time, in its reasonable discretion, without prior notice to Ambassador. Updated terms take effect when posted on the website with a revised “Last Updated” date. Ambassador is responsible for reviewing this Agreement periodically. Continued participation in the Program after updated terms are posted constitutes acceptance of the revised Agreement. Modifications do not apply retroactively to Ambassador Content already approved and published, or to Campaign Orders already accepted, before the change took effect.

19. GENERAL PROVISIONS

  • Entire Agreement: This Agreement, together with any Campaign Orders, constitutes the full agreement between the parties.
  • Severability: If any provision is invalid, the remainder remains enforceable.
  • Assignment: Ambassador may not assign this Agreement without Alsona’s written consent.
  • Waiver: Failure to enforce any provision is not a waiver.

ACCEPTANCE

Ambassador agrees that:

  • Clicking “I Agree” or checking the acceptance box constitutes a legally binding electronic signature.
  • This Agreement is governed by the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and applicable Delaware law.
  • Ambassador consents to receive communications electronically.
